1. Agreement to Terms
By accessing or using the services provided by Alongside Finance, Inc. ("Alongside," "we," "us," or "our"), including the Alongside Agents platform, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.
2. Description of Services
Alongside provides an AI-powered monitoring and alerting platform that allows users to deploy customizable agents to monitor cryptocurrency wallets, transactions, and related onchain activity. Agents operate autonomously based on user-defined configurations and deliver alerts to third-party messaging platforms such as Slack and Telegram.
The Services are read-only and informational in nature. Alongside does not custody, transfer, or manage digital assets on behalf of users. Agents do not execute trades, move funds, or take any action on your behalf.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that your use complies with all applicable laws and regulations in your jurisdiction.
4. Account Registration
To use certain features of the Services, you may be required to provide an email address and other information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
5. User Responsibility
You are solely responsible for: (a) the configuration and deployment of your agents, including which skills, wallets, and alert thresholds you select; (b) any decisions or actions you take based on information provided by agents; and (c) ensuring that your use of the Services complies with applicable laws. Alongside is not responsible for the consequences of actions taken or not taken in response to agent alerts.
6. Not Financial or Legal Advice
The Services, including all agent-generated alerts, reports, and analysis, are for informational purposes only. Nothing provided through the Services constitutes financial, investment, tax, legal, or compliance advice. You should consult qualified professionals before making any financial or legal decisions. Past performance data, risk scores, and market analysis provided by agents do not guarantee future results.
7. Acceptable Use
You agree not to use the Services to: (a) violate any applicable law or regulation; (b) infringe on the rights of any third party; (c) attempt to gain unauthorized access to any part of the Services; (d) interfere with or disrupt the integrity or performance of the Services; (e) use the Services for any unlawful, fraudulent, or malicious purpose; or (f) circumvent usage limits or rate restrictions.
8. Fees and Payment
Certain features of the Services require a paid subscription. Pricing, billing frequency, and plan details are described on our website. All fees are non-refundable except as required by law. We reserve the right to change pricing with reasonable notice.
9. Third-Party Data and Services
Agents rely on data from third-party sources including blockchain networks, analytics providers, and public APIs. Alongside does not control and is not responsible for the accuracy, completeness, or availability of third-party data. Alerts delivered via Slack, Telegram, or other messaging platforms are subject to those platforms' own terms and availability.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. Agents may experience delays or downtime due to blockchain network congestion, third-party API outages, scheduled maintenance, or events beyond our control. Alongside is not liable for missed, delayed, or inaccurate alerts resulting from such disruptions.
11. Assumption of Risk
You acknowledge that cryptocurrency and digital asset markets are inherently volatile and risky. By using the Services, you accept sole responsibility for your participation in digital asset activities. The Services are monitoring and alerting tools only and do not eliminate or reduce the risks associated with digital assets.
12. Intellectual Property
All content, features, and functionality of the Services, including but not limited to text, graphics, logos, and software, are the exclusive property of Alongside Finance, Inc. and are protected by copyright, trademark, and other intellectual property laws.
13. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Alongside does not warrant that agent outputs will be accurate, complete, timely, or error-free.
14. Limitation of Liability
To the maximum extent permitted by law, Alongside Finance, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or digital assets, whether incurred directly or indirectly, arising out of your use of the Services.
Our total aggregate liability for any claims arising from or related to the Services shall not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the total fees you paid to Alongside in the twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Alongside Finance, Inc. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorney's fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
16. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.
17. Dispute Resolution
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules, held in the State of Delaware. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. This section does not prevent either party from seeking injunctive relief in a court of competent jurisdiction.
18. Force Majeure
Alongside shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to blockchain network failures, smart contract vulnerabilities, third-party API outages, cyberattacks, natural disasters, government actions, or internet service disruptions.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
20. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
